Terms of Service

1. About Nivlus
Nivlus ("Nivlus," "the Platform," "we," "us") is an online marketplace that connects people who have a project idea ("Posters") with independent developers who can build it ("Developers"). Posters describe an idea and a budget; Developers browse ideas and message Posters to discuss scope, pricing, and timeline; and, when both sides agree, payment for the work flows through the Platform.
Nivlus is operated by Vela Sebhan (a Norwegian sole proprietorship) ("the Company").
Nivlus is a new, early-stage (beta) platform. Features, fees, and these Terms may change as the Platform develops. We'll do our best to give notice of material changes (see Section 14), but you should expect that a beta product will evolve.
By creating an account or using Nivlus, you agree to these Terms. If you don't agree, don't use the Platform.
2. Who can use Nivlus
- You must be at least 18 years old and able to form a binding contract under the law that applies to you.
- You must provide accurate information when creating your account and keep it up to date.
- You're responsible for one account per person; don't create accounts to evade a suspension or ban.
- Nivlus is available globally and isn't restricted to any one country, but you're responsible for complying with the laws that apply to you wherever you're located.
3. Your account
You can sign up using email/password or Google sign-in. You're responsible for:
- Keeping your password and account credentials confidential.
- All activity that happens under your account.
- Telling us promptly if you suspect unauthorized access to your account.
We can suspend or terminate accounts as described in Section 11.
4. If you're posting an idea (Posters)
When you post an idea, you agree to:
- Describe your idea honestly and accurately, including any constraints, must-haves, or scope limitations you're aware of at the time of posting.
- Set a genuine budget you're prepared to pay if a Developer completes the agreed work.
- Negotiate scope, deliverables, and expectations with a Developer in good faith before funding a project.
- Review submitted work and respond (approve, request changes, or raise a dispute) within a reasonable time.
- Pay the agreed amount through the Platform's payment flow — not attempt to pay a Developer outside the Platform to avoid fees (see Section 6).
Nivlus does not vet, endorse, or guarantee the feasibility, legality, or value of any idea posted. You're solely responsible for the idea you post and the instructions you give a Developer.
5. If you're building an idea (Developers)
When you take on a project, you agree to:
- Represent your skills and availability honestly.
- Only commit to work you genuinely intend and are able to deliver.
- Communicate scope, timeline, and any changes clearly with the Poster before starting funded work.
- Deliver work in good faith, consistent with what was agreed in chat.
- Not request or accept payment for a project outside the Platform's payment flow to avoid fees (see Section 6).
Nivlus does not vet Developers' skills, background, or qualifications. Posters are responsible for evaluating who they choose to work with.
6. Payments, escrow, and fees
Nivlus uses Stripe (specifically Stripe Connect) to process payments between Posters and Developers. Here's how it works in plain terms:
Circumventing the Platform: Arranging payment for a Nivlus-originated project outside the Platform in order to avoid the Platform fee is a violation of these Terms and may result in account suspension.
7. Disputes between Posters and Developers
Most disagreements should be resolved directly between the Poster and Developer, ideally through the in-app chat, before or instead of escalating.
If a dispute can't be resolved directly:
- Either party may contact Nivlus for help. We may look at the chat history and transaction status to help mediate, but we are not a court, arbitrator, or professional dispute-resolution service, and we're not obligated to resolve every dispute in either party's favor.
- If a payment has already been released to a Developer, reversing it may not be possible through the Platform — you may need to pursue the dispute directly with the other party, or, where applicable, through Stripe's own dispute/chargeback process.
- We may place a transaction on hold while a dispute is being looked into.
We reserve the right to make a final call on disputed transactions where the Platform holds the funds, based on the information available to us, but this isn't a guarantee of any particular outcome.
8. Reporting and prohibited conduct
You can report an idea you believe is spam, inappropriate, or fraudulent using the "Report" feature on an idea's page. Reports are reviewed by Nivlus; we don't guarantee a specific response time or outcome, and reports aren't visible to other users (including the reporter, after submission).
You agree not to use Nivlus to:
- Post spam, fake ideas, or content with no genuine intent to hire or be hired.
- Scam, defraud, or attempt to defraud another user (for example: taking payment with no intent to deliver, or posing as a Poster/Developer under false pretenses).
- Post illegal content, or use the Platform to arrange illegal work.
- Harass, threaten, or abuse another user.
- Infringe someone else's intellectual property, privacy, or other legal rights.
- Attempt to circumvent Platform fees as described in Section 6.
- Attempt to bypass, disable, or interfere with the security or proper functioning of the Platform.
- Use the Platform to collect other users' personal data for purposes unrelated to a legitimate project.
We may remove an idea that we find violates these rules. Violating these rules may also result in a warning, suspension, or termination of your account (Section 11), and, where the conduct is illegal, we may report it to relevant authorities.
9. Intellectual property and project ownership
Nivlus doesn't take any ownership interest in ideas posted or work product delivered between users. Who owns the resulting code, design, or other deliverables is a matter for the Poster and Developer to agree between themselves — we strongly recommend agreeing on IP ownership and licensing explicitly in chat before funding a project, since these Terms don't set that for you.
You retain ownership of the content you post (idea descriptions, messages, etc.), but you grant Nivlus a license to host, display, and process that content as needed to operate the Platform (for example, showing your idea to Developers, or storing chat history so both parties can refer back to it).
10. Disclaimers
Nivlus is provided "as is" and "as available," without warranties of any kind, express or implied, including (to the extent permitted by law) warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that:
- Any idea posted will find a Developer, or vice versa.
- Any Developer's work will meet a Poster's expectations.
- The Platform will be uninterrupted, error-free, or secure at all times.
- Any particular dispute will be resolved in your favor.
11. Limitation of liability
To the maximum extent permitted by applicable law, Vela Sebhan and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from your use of the Platform — even if we've been advised of the possibility of such damages.
Our total liability to you for any claim arising from your use of Nivlus is limited to the greater of (a) the Platform fees you paid us in the 12 months before the claim arose, or (b) NOK 1,000.
Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for fraud or gross negligence, or consumer-protection rights that can't be waived).
12. Indemnification
You agree to indemnify and hold harmless Vela Sebhan from claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or content you post.
13. Account suspension and termination
We may suspend or terminate your account, with or without notice, if we reasonably believe you've violated these Terms, engaged in prohibited conduct (Section 8), or if we're required to do so by law.
You can stop using Nivlus and delete your account at any time from your profile page ("Delete my account"). Deleting your account doesn't cancel obligations you already took on (for example, a payment already funded or a project already agreed) — those need to be resolved first.
14. Changes to these Terms
Because Nivlus is an early-stage product, we expect to update these Terms as the Platform develops. We'll update the "Last updated" date above and, for material changes, try to give you reasonable notice (for example, via email or an in-app notice) before they take effect. Continuing to use Nivlus after changes take effect means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of Norway, without regard to conflict-of-law principles, and (to the extent applicable) relevant EU law given Nivlus's operation from within the EU/EEA. Any dispute not resolved under Section 7 will be subject to the exclusive jurisdiction of the courts of Sandefjord, Norway, except where mandatory consumer-protection law gives you the right to bring a claim in your own country of residence.
